These terms and conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
All services provided by Darianox Security Corp. are subject to individual service agreements. Clients must execute a Statement of Work (SOW) or Service Agreement before services commence. The terms contained within the applicable service agreement shall govern the specific services provided, including liability limitations, indemnification, and confidentiality obligations.
Payment for services shall be made in accordance with the terms specified in the applicable service agreement or invoice. Invoices are due within thirty (30) days of issuance unless otherwise specified. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of services. This includes but is not limited to security assessments, vulnerability reports, and strategic recommendations. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
EXCEPT AS EXPRESSLY PROVIDED IN THE SERVICE AGREEMENT, IN NO EVENT SHALL DARIANOX SECURITY CORP. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. DARIANOX SECURITY CORP. MAKES NO WARRANTY THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL VULNERABILITIES WILL BE IDENTIFIED OR REMEDIATED. CYBER SECURITY IS AN ONGOING PROCESS, AND NO SERVICE CAN GUARANTEE COMPLETE PROTECTION AGAINST ALL THREATS.
All materials, tools, methodologies, and documentation provided by Darianox Security Corp., including but not limited to reports, assessments, and recommendations, remain the intellectual property of Darianox Security Corp. unless otherwise specified in the service agreement. Clients may use such materials solely for their internal purposes in accordance with the license granted in the service agreement.
You are responsible for maintaining the confidentiality of your account information and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You must notify Darianox Security Corp. immediately of any unauthorized use of your account.
You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our servers or networks. Prohibited behaviors include harassing or causing distress or inconvenience to any person, obscene or abusive language, deliberate transmission of viruses or malicious code, and commercial solicitation.
You agree to indemnify, defend, and hold harmless Darianox Security Corp. from any claims, damages, losses, or expenses arising from your violation of these terms or your use of our services, including reasonable attorney's fees.
Darianox Security Corp. is committed to protecting your data and complying with applicable privacy laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and the General Data Protection Regulation (GDPR) where applicable. Darianox Security Corp. may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach any provision of these terms. Upon termination, your right to use the services will immediately cease.
These Terms of Service, together with any applicable service agreement or SOW, constitute the entire agreement between you and Darianox Security Corp. regarding the use of our services and supersede all prior understandings, representations, and agreements, whether written or oral.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
